Subscription, Billing, Cancellation & Refund Policy

This RestoreIQ Subscription, Billing, Cancellation & Refund Policy (this “Policy”) explains the trial, subscription, billing, cancellation, renewal, and refund terms for RestoreIQ, provided by Pelagic Studio LLC, a Louisiana limited liability company (“Pelagic Studio,” “we,” “us,” or “our”).
This Policy is incorporated into and forms part of the RestoreIQ Terms of Service / SaaS Access Agreement. Capitalized terms not defined in this Policy have the meanings given in the Terms of Service / SaaS Access Agreement.
By starting a trial, purchasing a subscription, renewing a subscription, or continuing to use RestoreIQ, you agree to this Policy.
1. Subscription Model
RestoreIQ may be offered through one or more access models, including:
free trials;
paid annual subscriptions;
promotional plans;
beta or pilot access;
demonstration access;
local version access;
cloud version access;
professional shop plans;
individual DIY user plans; or
other plans made available by Pelagic Studio.
The specific features, limits, pricing, billing period, support level, and included services for each plan will be stated on the applicable pricing page, checkout page, quote, invoice, order form, written agreement, or in-app subscription page.
2. Free Trials
Pelagic Studio may offer a 30-day free trial or other trial period for RestoreIQ.
Unless otherwise stated at sign-up:
the trial begins when the account is activated or when access is first granted;
the trial lasts for thirty (30) calendar days;
trial access is for evaluation purposes only;
trial features may be limited or different from paid subscription features;
Pelagic Studio may modify, limit, suspend, or discontinue trial access at any time;
Customer is responsible for exporting or backing up any desired Customer Content before the trial ends; and
trial access does not guarantee continued availability of the same plan, pricing, features, or promotional terms.
3. Trial Conversion
RestoreIQ’s default early-launch model is intended to be a trial-then-subscribe model, meaning a trial does not automatically convert to a paid annual subscription unless this is clearly disclosed at sign-up and you authorize the recurring charge.
If a trial requires payment information and will automatically convert to a paid subscription, Pelagic Studio will disclose the automatic conversion terms before sign-up, including:
the trial length;
when billing begins;
the subscription price;
the billing frequency;
whether the subscription renews automatically;
how to cancel before being charged; and
where to manage or cancel the subscription.
If no automatic conversion terms are disclosed at trial sign-up, your trial will not automatically convert to a paid subscription.
4. Paid Subscriptions
Paid subscriptions provide access to RestoreIQ according to the applicable plan and subscription period.
Unless otherwise stated in the applicable order, checkout page, or written agreement:
paid subscriptions are billed annually;
subscription fees are due at the start of the subscription term;
access begins after payment is accepted or after Pelagic Studio otherwise activates the subscription;
subscription access is limited to the account, plan, users, usage limits, and features purchased;
subscription fees are stated in U.S. dollars unless otherwise specified; and
taxes, payment processing fees, and other charges may apply.
Some plans, including professional shop or team plans, may permit one or more additional users or team seats beyond the base plan for an additional per-seat fee, billed on the same subscription cadence (monthly or annual) as the base plan.
The number of users included in a plan, the availability of additional seats, and the applicable per-seat fee will be stated on the applicable pricing page, checkout page, quote, invoice, order form, or in-app subscription page.
Adding a user may take effect immediately and may be billed immediately or on the next billing date, as described on the applicable pricing page or in-app subscription page. Removing a user does not automatically issue a refund or credit for the then-current billing period.
5. Auto-Renewal
Some RestoreIQ subscriptions may renew automatically. If auto-renewal applies, it will be disclosed before purchase.
If your subscription renews automatically:
your subscription will renew for the same billing period unless you cancel before the renewal date;
the payment method on file may be charged at renewal;
renewal pricing may reflect the then-current price unless otherwise stated;
you are responsible for keeping payment information current; and
cancellation instructions will be provided in the account settings, checkout flow, subscription page, or other reasonable location.
Pelagic Studio may send renewal reminders where required by law or where operationally appropriate.
6. Billing and Payment
You agree to pay all fees associated with your RestoreIQ subscription or other purchased services.
Payment may be processed by a third-party payment processor. By submitting payment information, you authorize Pelagic Studio or its payment processor to charge applicable fees, taxes, and other amounts due.
Pelagic Studio does not intend to store full credit card numbers when using a third-party payment processor.
If payment fails, Pelagic Studio may:
notify you of the failed payment;
retry the payment method;
request updated payment information;
suspend access;
limit features;
terminate the subscription; or
pursue collection of unpaid amounts where appropriate.
7. Taxes
Subscription fees may not include applicable sales, use, value-added, excise, withholding, or other taxes.
You are responsible for taxes associated with your purchase, except taxes based on Pelagic Studio’s income. If Pelagic Studio is required to collect taxes, those amounts may be added to the invoice or checkout total.
8. Cancellation
You may cancel your RestoreIQ subscription at any time, according to the cancellation method provided in the application, account settings, subscription portal, checkout provider, or by contacting Pelagic Studio at the applicable support or billing contact.
Unless otherwise stated:
cancellation stops future renewal charges;
cancellation does not automatically refund amounts already paid;
access may continue until the end of the current paid subscription term;
after the subscription term ends, the account may be placed into a reduced, read-only access mode, or access may be suspended, downgraded, limited, or terminated, as described in Section 12;
you are responsible for exporting or backing up Customer Content before access ends; and
deleting the application, abandoning the account, or not using RestoreIQ does not automatically cancel a paid subscription.
If cancellation is available online, Pelagic Studio will aim to make the cancellation process reasonably accessible and straightforward.
9. Refund Policy
Unless otherwise stated in an order form, written agreement, checkout page, promotional offer, or applicable law, RestoreIQ subscription fees are non-refundable after purchase except as described below.
9.1 First Purchase Refund Window
For the initial paid annual subscription purchase, Pelagic Studio may offer a seven (7) calendar day refund window beginning on the purchase date.
To request a refund under this initial purchase refund window, you must contact Pelagic Studio within seven (7) calendar days of purchase using the billing or support contact provided by Pelagic Studio.
9.2 No Refunds After Refund Window
After the applicable refund window expires, paid subscription fees are non-refundable, including for:
unused time;
lack of use;
user error;
change of mind;
project cancellation;
vehicle sale;
failure to export data before cancellation;
dissatisfaction not reported within the refund window;
local device issues outside Pelagic Studio’s control;
third-party service issues outside Pelagic Studio’s control; or
cancellation after renewal.
9.3 Renewal Refunds
Renewal charges are generally non-refundable unless otherwise required by law or expressly stated in a written agreement.
Pelagic Studio may, in its discretion, provide renewal reminders or grace periods, but doing so does not create an obligation to provide refunds for future renewals.
9.4 Promotional, Discounted, Beta, Pilot, or Special Pricing
Promotional, discounted, beta, pilot, early-access, or special-pricing subscriptions may be subject to additional or different refund terms. Any such terms will be stated in the applicable offer, order, quote, or written agreement.
9.5 Refund Method
Approved refunds will generally be issued to the original payment method. Payment processor timing may vary.
10. Plan Changes
Pelagic Studio may allow upgrades, downgrades, or plan changes.
Unless otherwise stated:
upgrades may take effect immediately or at the next billing cycle;
additional fees may be prorated or charged immediately;
downgrades may take effect at the next renewal or billing cycle;
downgrades may reduce features, limits, storage, users, support, exports, or access; and
Customer is responsible for exporting or preserving data before downgrading to a plan with lower limits.
11. Price Changes
Pelagic Studio may change pricing, plans, features, or billing models from time to time.
For existing paid subscriptions, price changes generally apply at the next renewal unless otherwise stated. Pelagic Studio will provide reasonable notice of material price changes where required by law or where operationally appropriate.
If you do not agree to a price change, you may cancel before the renewal date.
12. Account Suspension for Nonpayment
If fees are not paid when due, or if a paid Subscription expires or is not renewed, Pelagic Studio may place the associated account into a reduced, read-only access mode, fully suspend or limit access, or terminate access to RestoreIQ, in its discretion.
Unless otherwise stated in the applicable order, checkout page, or written agreement, and unless Pelagic Studio elects full suspension or termination instead:
Customer may generally continue to view previously entered Customer Content while in read-only access mode;
Customer may not create, edit, upload, delete, export, or otherwise modify Customer Content, projects, or account settings while in read-only access mode;
AI-assisted features and other paid features may be unavailable while in read-only access mode;
full read/write access resumes after payment is resolved or the Subscription is renewed, subject to Pelagic Studio’s policies; and
Pelagic Studio is not obligated to provide read-only access rather than full suspension or termination, including for extended nonpayment, suspected fraud, chargebacks, repeated payment failures, or other misuse.
During any full suspension: Customer Content may remain stored for a limited time; features and exports may be unavailable; support may be limited; and access may be restored after payment is resolved, subject to Pelagic Studio’s policies.
Pelagic Studio is not responsible for losses resulting from read-only access mode, suspension, or termination due to nonpayment or expiration.
13. Local Version Subscription or Activation
If Pelagic Studio offers a Local Version of RestoreIQ, that Local Version may require a subscription, license key, activation, renewal, validation, update entitlement, or support plan.
Unless otherwise stated:
the Local Version is licensed, not sold;
annual subscription or activation fees may apply;
access to updates, support, AI features, cloud services, or exports may depend on subscription status;
Customer is responsible for local installation, device security, local backups, and local data recovery; and
termination or expiration of subscription may limit access to updates, support, cloud features, AI features, or activation services.
14. Third-Party Charges
RestoreIQ may integrate with third-party services, such as payment processors, authentication providers, AI providers, hosting providers, storage providers, print providers, or fulfillment providers.
Third-party services may charge separate fees. Pelagic Studio is not responsible for third-party fees unless expressly stated in writing.
15. Chargebacks and Payment Disputes
If you believe a charge is incorrect, please contact Pelagic Studio before initiating a chargeback so we can attempt to resolve the issue.
Pelagic Studio may suspend or terminate access if a chargeback, payment dispute, fraud alert, or payment reversal occurs.
16. Data Access After Cancellation or Termination
After cancellation, expiration, or termination, your access to RestoreIQ and Customer Content may be limited or unavailable.
You are responsible for exporting or backing up Customer Content before cancellation or the end of your subscription term.
Pelagic Studio may retain or delete Customer Content according to the RestoreIQ Support, Backup & Data Retention Policy, Privacy Policy, Terms of Service / SaaS Access Agreement, legal obligations, and ordinary business practices.
