This RestoreIQ SaaS Access Agreement / End User License Agreement (this “Agreement”) governs access to and use of the RestoreIQ software application, website, services, documentation, workflows, templates, exports, and related features made available by Pelagic Studio LLC, a Louisiana limited liability company (“Pelagic Studio,” “we,” “us,” or “our”).
By creating an account, accessing RestoreIQ, clicking “I agree,” starting a trial, purchasing a subscription, using the application, or otherwise accessing the services, the person or entity accessing RestoreIQ (“Customer,” “you,” or “your”) agrees to be bound by this Agreement.
If you are accepting this Agreement on behalf of a company, organization, shop, business, or other legal entity, you represent that you have authority to bind that entity to this Agreement. If you do not agree to this Agreement, do not access or use RestoreIQ.
1. Definitions
For purposes of this Agreement:
“RestoreIQ” means the RestoreIQ software application, platform, website, user interface, workflows, templates, documentation tools, project management tools, media management tools, inventory tools, guided workflow tools, book studio tools, export tools, AI-assisted features, reports, documentation, and related services provided by Pelagic Studio.
“Customer Content” means information, data, photos, videos, documents, notes, project records, vehicle records, part records, vendor records, purchase records, receipts, estimates, budgets, schedules, media, captions, narratives, exports, and other materials uploaded, entered, submitted, stored, processed, or generated by Customer through RestoreIQ.
“Documentation” means user guides, help materials, technical documentation, support articles, product notes, instructions, templates, examples, and related materials provided by Pelagic Studio.
“Subscription” means the paid or trial right to access RestoreIQ under the applicable plan, order, checkout page, quote, invoice, or subscription terms.
“Trial” means any free, evaluation, beta, pilot, demonstration, or limited-use access to RestoreIQ provided before or without a paid Subscription.
“AI Features” means any artificial intelligence, machine learning, automated suggestion, caption generation, narrative generation, recommendation, summarization, classification, workflow guidance, or similar functionality made available through RestoreIQ.
“Authorized User” means an individual user authorized by Customer to access RestoreIQ under Customer’s account or Subscription.
“Local Version” means any RestoreIQ software, package, build, runtime, or deployment made available for local, desktop, self-hosted, offline, or customer-controlled use, if offered by Pelagic Studio.
“Cloud Version” means any RestoreIQ service hosted or operated by or for Pelagic Studio and accessed by Customer through a browser, web application, hosted endpoint, or cloud environment.
2. Access Right; Limited License
Subject to Customer’s compliance with this Agreement and payment of all applicable fees, Pelagic Studio grants Customer a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use RestoreIQ during the applicable Trial or Subscription term solely for Customer’s internal restoration project planning, tracking, documentation, media organization, inventory management, workflow guidance, reporting, export, and related authorized purposes.
This Agreement provides access to RestoreIQ. It does not transfer ownership of RestoreIQ, its software, source code, object code, user interface, designs, architecture, workflows, scoring logic, templates, documentation, trade secrets, trademarks, know-how, or intellectual property.
3. Account Registration and Responsibility
Customer must provide accurate, current, and complete account information and must keep such information updated.
Customer is responsible for:
maintaining the confidentiality and security of account credentials;
all activity occurring under Customer’s account;
ensuring that Authorized Users comply with this Agreement;
promptly notifying Pelagic Studio of any unauthorized access, suspected breach, or misuse of the account;
maintaining accurate contact and billing information; and
ensuring Customer has all rights necessary to upload, process, store, and use Customer Content in RestoreIQ.
Pelagic Studio is not responsible for losses caused by Customer’s failure to maintain the security of account credentials or devices.
4. Trials, Subscriptions, Billing, and Cancellation
RestoreIQ may be offered through free trials, paid subscriptions, annual subscriptions, promotional plans, beta access, pilot access, or other access models.
Specific pricing, billing, renewal, cancellation, refund, and payment terms may be provided in a separate Subscription Terms, checkout page, order form, invoice, quote, or other written agreement. Those commercial terms are incorporated into this Agreement by reference.
Unless otherwise stated in the applicable Subscription Terms:
a Trial provides limited access for evaluation only;
Trial access may be modified, limited, suspended, or discontinued at any time;
paid access requires timely payment of all applicable fees;
failure to pay fees may result in suspension or termination of access;
Customer is responsible for applicable taxes, except taxes based on Pelagic Studio’s income;
cancellation does not automatically entitle Customer to a refund unless expressly stated in the applicable Refund Policy or Subscription Terms; and
any auto-renewal or recurring billing terms must be clearly disclosed before purchase or activation.
Pelagic Studio may update pricing or subscription plans from time to time. Any price change for an existing paid Subscription will apply no earlier than the next renewal term unless otherwise agreed in writing.
5. Authorized Use
Customer may use RestoreIQ only for lawful purposes and only in accordance with this Agreement, applicable Documentation, and applicable law.
Authorized uses may include:
creating and managing restoration projects;
documenting vehicles, assemblies, subassemblies, parts, media, purchases, vendors, budgets, schedules, and project notes;
using guided workflow tools to plan and track restoration activity;
uploading and organizing project media and related documentation;
generating reports, project records, documentation exports, PDF outputs, book layouts, captions, summaries, or other outputs supported by RestoreIQ;
evaluating AI-assisted suggestions subject to the limitations in this Agreement; and
other uses reasonably related to Customer’s restoration project management and documentation needs.
6. Prohibited Use
Customer shall not, and shall not permit any Authorized User or third party to:
copy, reproduce, distribute, sell, resell, lease, rent, sublicense, assign, transfer, or commercially exploit RestoreIQ except as expressly permitted by Pelagic Studio;
reverse engineer, decompile, disassemble, modify, translate, or attempt to derive source code, architecture, algorithms, workflows, data models, or non-public logic from RestoreIQ;
scrape, crawl, harvest, extract, or mass-download data or content from RestoreIQ except through intended export functionality;
bypass, disable, interfere with, or circumvent security, license enforcement, usage limits, authentication, access controls, or technical restrictions;
use RestoreIQ to develop, train, benchmark, or improve a competing product or service without Pelagic Studio’s prior written consent;
upload malicious code, viruses, malware, ransomware, spyware, or harmful files;
use RestoreIQ in violation of law or third-party rights;
upload content that is unlawful, infringing, defamatory, abusive, harmful, obscene, fraudulent, deceptive, or otherwise objectionable;
impersonate any person or entity or misrepresent affiliation, ownership, authorization, or rights;
interfere with or disrupt RestoreIQ, servers, networks, hosting providers, payment processors, authentication providers, or other systems;
use RestoreIQ for emergency, safety-critical, mission-critical, life-safety, or legally mandated compliance purposes where failure could result in personal injury, death, property damage, or legal liability;
rely on RestoreIQ as a substitute for professional mechanical, automotive, electrical, welding, fabrication, safety, legal, financial, insurance, tax, or regulatory advice; or
remove, obscure, or alter proprietary notices, copyright notices, trademark notices, disclaimers, or attribution notices.
7. Customer Content Ownership
As between Customer and Pelagic Studio, Customer retains ownership of Customer Content.
Customer grants Pelagic Studio a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, modify, format, organize, analyze, generate, export, and otherwise use Customer Content solely as necessary to:
provide, maintain, secure, support, and improve RestoreIQ;
generate reports, exports, captions, narratives, book layouts, documentation, summaries, workflow outputs, or other requested functionality;
troubleshoot issues, provide support, and prevent misuse;
comply with law and enforce this Agreement; and
perform other actions requested or authorized by Customer.
Customer represents and warrants that Customer has all rights, permissions, licenses, consents, and authority necessary to upload and use Customer Content in RestoreIQ and to grant the license described in this Section.
8. Customer Responsibility for Content and Project Decisions
Customer is solely responsible for:
the accuracy, completeness, legality, and quality of Customer Content;
verifying all vehicle, part, vendor, purchase, budget, schedule, inventory, media, documentation, and restoration information;
determining whether any restoration task, repair, installation, fabrication, welding, electrical work, brake work, steering work, suspension work, frame work, fuel system work, or other activity is safe, legal, appropriate, or roadworthy;
obtaining professional advice and qualified labor where needed;
maintaining backups of Customer Content and exported files; and
reviewing all outputs before relying on, printing, sharing, publishing, or using them.
RestoreIQ is an organizational and documentation tool. It is not a substitute for qualified professional inspection, repair, fabrication, safety assessment, or legal compliance review.
9. AI-Assisted Features
RestoreIQ may include AI Features that assist with captions, narratives, summaries, recommendations, workflow guidance, project insights, media organization, documentation, book layouts, or other functionality.
Customer understands and agrees that:
AI-generated output may be inaccurate, incomplete, outdated, unsafe, biased, unsuitable, or inconsistent;
AI Features are provided for informational, organizational, and drafting assistance only;
AI Features do not provide professional mechanical, automotive, safety, legal, financial, tax, insurance, regulatory, engineering, or compliance advice;
Customer must independently review, verify, and approve all AI-generated output before relying on or using it;
Customer is solely responsible for decisions, actions, repairs, purchases, communications, exports, publications, or other uses based on AI-generated output;
Pelagic Studio does not guarantee that AI-generated output will be accurate, safe, complete, unique, non-infringing, or appropriate for Customer’s specific circumstances; and
AI Features may be modified, limited, disabled, or discontinued at any time.
If RestoreIQ offers Customer choices among manual-only, local AI, cloud AI, or third-party AI processing modes, Customer is responsible for selecting the AI mode appropriate for Customer’s privacy, security, operational, and risk preferences. Additional AI terms, provider terms, or disclosures may apply.
10. Export, PDF, Book Studio, and Print Output
RestoreIQ may allow Customer to generate exports, reports, PDFs, project books, photo books, documentation packages, print-ready materials, captions, narratives, layouts, or provider-specific output packages.
Customer is solely responsible for:
reviewing and proofreading all exports before use;
verifying all photos, captions, narratives, project details, dates, part records, purchase records, vendor records, and restoration records;
ensuring Customer has all necessary rights to use images, text, trademarks, logos, names, designs, and other materials included in any export;
confirming print specifications, bleed, trim, color, resolution, page count, file format, provider requirements, and ordering details before submitting materials to any print or publishing provider;
complying with third-party print provider terms; and
determining whether exported materials are suitable for Customer’s intended purpose.
Pelagic Studio does not guarantee acceptance, quality, pricing, delivery, formatting, color accuracy, print output, publication, or fulfillment by any third-party print, publishing, or fulfillment provider.
11. Local Version and Cloud Version
RestoreIQ may be provided as a Cloud Version, a Local Version, or both.
For the Cloud Version, Pelagic Studio or its service providers may host Customer Content and operate the application environment, subject to applicable privacy, security, and subscription terms.
For any Local Version, Customer may be responsible for installation, updates, device security, local storage, backups, network configuration, encryption, access control, and data recovery unless otherwise agreed in writing.
Customer acknowledges that features, performance, backup functionality, AI functionality, synchronization, export capability, support scope, and update availability may differ between the Cloud Version and any Local Version.
12. Backups and Data Retention
Customer is responsible for maintaining independent backups of Customer Content and exports, especially for important project records, photos, receipts, build documentation, book files, and restoration history.
Pelagic Studio may provide backup, export, retention, or recovery features, but unless expressly stated in a separate written agreement, Pelagic Studio does not guarantee that Customer Content can be recovered after deletion, account termination, local device failure, failed synchronization, corrupted files, user error, third-party service failure, or other loss event.
Pelagic Studio may retain or delete Customer Content in accordance with its Privacy Policy, Data Backup and Retention Policy, Subscription Terms, technical requirements, legal obligations, and ordinary business practices.
13. Privacy and Security
Pelagic Studio’s collection, use, storage, sharing, and processing of personal information is described in its Privacy Policy, which is incorporated into this Agreement by reference.
Pelagic Studio will use commercially reasonable administrative, technical, and organizational measures designed to protect Customer Content under its control. However, no system, network, device, storage method, transmission method, or security measure is completely secure.
Customer is responsible for maintaining device security, account security, credential security, network security, user permissions, local backups, and appropriate access controls for Authorized Users.
14. Third-Party Services
RestoreIQ may integrate with or rely on third-party services, including authentication providers, payment processors, hosting providers, analytics providers, AI providers, storage providers, email providers, support tools, print providers, or other technology vendors.
Third-party services may be subject to separate terms, privacy policies, fees, limitations, outages, or data processing practices. Pelagic Studio is not responsible for third-party services except to the extent expressly required by applicable law or a separate written agreement.
Pelagic Studio may modify, replace, suspend, or discontinue third-party integrations at any time.
15. Support and Maintenance
Pelagic Studio may provide support, maintenance, updates, documentation, or troubleshooting resources according to its then-current Support Policy, Subscription Terms, plan level, or written agreement with Customer.
Unless otherwise agreed in writing, Pelagic Studio does not guarantee any specific response time, uptime, availability, feature delivery date, enhancement, bug fix, compatibility update, or support outcome.
Pelagic Studio may update, modify, improve, limit, suspend, or discontinue features of RestoreIQ from time to time. Pelagic Studio may also issue patches, updates, or changes that are required for security, performance, legal compliance, compatibility, or product improvement.
16. Intellectual Property Ownership
Pelagic Studio and its licensors retain all rights, title, and interest in and to RestoreIQ, including all software, code, architecture, designs, workflows, templates, documentation, interfaces, databases, product logic, trade secrets, inventions, know-how, improvements, updates, derivative works, trademarks, service marks, trade names, branding, and other intellectual property.
Except for the limited access right expressly granted in this Agreement, Customer receives no ownership interest or intellectual property rights in RestoreIQ.
Customer shall not challenge, contest, or interfere with Pelagic Studio’s ownership of RestoreIQ or related intellectual property.
17. Feedback
If Customer provides suggestions, ideas, comments, improvements, recommendations, feature requests, bug reports, workflow suggestions, design feedback, or other feedback regarding RestoreIQ (“Feedback”), Customer grants Pelagic Studio a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable, transferable right to use, reproduce, modify, create derivative works from, commercialize, and otherwise exploit such Feedback for any lawful purpose without obligation to Customer.
Pelagic Studio will not disclose Customer’s Confidential Information in connection with using Feedback.
18. Confidentiality
If the Parties have entered into a separate nondisclosure agreement, that agreement governs confidential information exchanged outside ordinary use of RestoreIQ.
Customer shall not disclose non-public information about RestoreIQ, including non-public features, screenshots, prototypes, architecture, security design, roadmap, beta materials, pricing not publicly posted, or other proprietary materials, except as permitted by Pelagic Studio in writing.
19. Suspension and Termination
Pelagic Studio may suspend or terminate Customer’s access to RestoreIQ, in whole or in part, if:
Customer breaches this Agreement;
Customer fails to pay applicable fees;
Customer’s use creates security, legal, operational, reputational, or technical risk;
Customer or an Authorized User misuses RestoreIQ or violates applicable law;
required by law, court order, government request, payment processor requirement, hosting provider requirement, or third-party provider requirement;
Customer’s account is inactive for an extended period as described in applicable policies; or
continued access would expose Pelagic Studio, RestoreIQ, other users, or third parties to harm.
If a paid Subscription is not renewed, lapses, or expires due to nonpayment, Pelagic Studio may, instead of suspending or terminating access outright, place the associated account into a reduced, read-only access mode as described in the Subscription Terms, rather than immediately ending access under this Section.
Nothing in this Section obligates Pelagic Studio to provide read-only access rather than full suspension or termination, including in cases of extended nonpayment, suspected fraud, chargebacks, repeated payment failures, or other misuse.
Upon full suspension or termination of access under this Section (as distinct from the reduced, read-only access mode described above):
Customer’s right to access RestoreIQ ends;
Customer must stop using RestoreIQ;
unpaid fees become due, unless prohibited by law or stated otherwise in Subscription Terms;
provisions intended to survive termination shall survive; and
Customer may lose access to Customer Content unless export or retention rights are provided by applicable policy or law.
20. Disclaimers
RESTOREIQ IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PELAGIC STUDIO DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, PERFORMANCE, OR COURSE OF DEALING.
PELAGIC STUDIO DOES NOT WARRANT THAT RESTOREIQ WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, AVAILABLE AT ALL TIMES, COMPATIBLE WITH ALL DEVICES OR SYSTEMS, FREE OF DATA LOSS, OR THAT OUTPUTS WILL BE ACCURATE, COMPLETE, SAFE, LEGAL, OR SUITABLE FOR CUSTOMER’S NEEDS.
PELAGIC STUDIO DOES NOT WARRANT OR GUARANTEE RESTORATION OUTCOMES, PROJECT COMPLETION, VEHICLE SAFETY, VEHICLE ROADWORTHINESS, REPAIR QUALITY, PART COMPATIBILITY, VENDOR PERFORMANCE, BUDGET ACCURACY, SCHEDULE ACCURACY, EXPORT QUALITY, PRINT QUALITY, OR AI OUTPUT ACCURACY.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PELAGIC STUDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST GOODWILL, LOSS OF DATA, COST OF SUBSTITUTE SERVICES, PROJECT DELAYS, VEHICLE DAMAGE, REPAIR COSTS, RESTORATION COSTS, THIRD-PARTY CLAIMS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PELAGIC STUDIO’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR RESTOREIQ SHALL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO PELAGIC STUDIO FOR RESTOREIQ DURING THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, Pelagic Studio’s liability shall be limited to the maximum extent permitted by law.
22. Indemnification
Customer shall defend, indemnify, and hold harmless Pelagic Studio, its owners, officers, members, managers, employees, contractors, agents, affiliates, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
Customer Content;
Customer’s use or misuse of RestoreIQ;
Customer’s violation of this Agreement or applicable law;
Customer’s restoration, repair, fabrication, safety, mechanical, electrical, welding, structural, vendor, purchasing, or project decisions;
Customer’s reliance on AI-generated output or other RestoreIQ outputs;
Customer’s infringement or alleged infringement of third-party rights;
Customer’s interaction with third-party vendors, print providers, service providers, suppliers, shops, contractors, or other third parties; or
acts or omissions of Authorized Users.
Pelagic Studio reserves the right to assume exclusive defense and control of any matter subject to indemnification by Customer, in which case Customer shall cooperate with Pelagic Studio’s defense.
23. Export Control and Legal Compliance
Customer shall comply with all applicable laws, rules, and regulations in connection with Customer’s use of RestoreIQ, including laws related to privacy, intellectual property, consumer protection, data security, export controls, sanctions, taxes, and vehicle-related regulations.
Customer shall not use RestoreIQ in any embargoed country, sanctioned region, or in violation of applicable export control or sanctions laws.
24. Government, Professional, and Safety Use Disclaimer
RestoreIQ is not designed or certified for use in safety-critical systems, emergency response systems, regulated compliance systems, professional engineering certification, roadworthiness certification, legal compliance certification, insurance certification, vehicle inspection certification, or any use where failure could result in injury, death, property damage, legal liability, or regulatory noncompliance.
Customer is solely responsible for obtaining qualified professional review where appropriate.
25. Changes to This Agreement
Pelagic Studio may update this Agreement from time to time. If Pelagic Studio makes material changes, Pelagic Studio will provide notice by posting the updated Agreement, sending email notice, presenting in-app notice, or using another reasonable method.
Updated terms will become effective on the date stated in the notice or, if no date is stated, when posted. Customer’s continued use of RestoreIQ after updated terms become effective constitutes acceptance of the updated terms.
If Customer does not agree to updated terms, Customer must stop using RestoreIQ and cancel the applicable Subscription according to the Subscription Terms.
26. Governing Law; Venue
This Agreement shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to conflict-of-law principles.
The Parties agree that any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in or serving East Baton Rouge Parish, Louisiana, and each Party consents to personal jurisdiction and venue in such courts.
27. Dispute Resolution
Before filing a legal action, the Parties agree to make a good-faith effort to resolve any dispute informally by providing written notice describing the dispute and allowing at least thirty (30) days for business-level resolution discussions.
Nothing in this Section prevents either Party from seeking temporary, preliminary, or permanent injunctive relief, equitable relief, or other urgent relief necessary to prevent misuse of intellectual property, unauthorized access, security threats, or unauthorized disclosure of confidential information.
28. Assignment
Customer may not assign or transfer this Agreement, any Subscription, or any rights or obligations under this Agreement without Pelagic Studio’s prior written consent.
Pelagic Studio may assign this Agreement without Customer’s consent in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, transfer of RestoreIQ, or other business transaction, provided that the assignee assumes Pelagic Studio’s obligations under this Agreement.
Any attempted assignment in violation of this Section is void.
29. Notices
Pelagic Studio may provide notices by email, in-app notification, website posting, account dashboard, or other reasonable method.
Legal notices to Pelagic Studio must be sent to:

Customer agrees that electronic notices satisfy any legal communication requirements unless prohibited by law.
30. Severability
If any provision of this Agreement is found invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. The invalid, illegal, or unenforceable provision will be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent as closely as possible.
31. Waiver
No failure or delay by Pelagic Studio in exercising any right or remedy under this Agreement shall operate as a waiver. Any waiver must be in writing and signed by Pelagic Studio.
32. Force Majeure
Pelagic Studio shall not be liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, power failures, internet failures, hosting provider failures, cyberattacks, labor disputes, supply chain failures, governmental actions, war, terrorism, civil unrest, pandemics, or failures of third-party service providers.
33. Entire Agreement
This Agreement, together with any applicable Subscription Terms, Privacy Policy, Refund Policy, Acceptable Use Policy, Support Policy, Data Backup and Retention Policy, AI Feature Terms, order form, invoice, quote, or other written terms expressly incorporated by reference, constitutes the entire agreement between Pelagic Studio and Customer regarding RestoreIQ and supersedes all prior or contemporaneous agreements, understandings, communications, and representations regarding the subject matter.
34. Order of Precedence
If there is a conflict among documents, the following order of precedence applies unless expressly stated otherwise in a signed written agreement:
signed order form, quote, or written agreement between Pelagic Studio and Customer;
Subscription Terms;
this Agreement;
Privacy Policy;
Acceptable Use Policy;
Support Policy;
Documentation.
35. Electronic Acceptance
Customer agrees that electronic acceptance, click-through acceptance, account creation, subscription purchase, Trial activation, or continued use of RestoreIQ constitutes acceptance of this Agreement. Customer agrees that electronic records and electronic signatures may be used in connection with this Agreement.
